In order to access the features of the Services, you must create an account ("Account"). Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your Account.
You agree to share personal information and documentation necessary for identity verification purposes, in compliance with applicable laws and regulations regarding Know Your Customer (KYC) and Anti-Money Laundering (AML) policies. This may include, but is not limited to, your government-issued ID, proof of address, and biometric data. We reserve the right to investigate and verify your identity at any time and to close your account if we suspect false information has been provided.
You are responsible for maintaining the confidentiality of your Account credentials, including your password and API keys. You are fully responsible for all activities that occur under your Account. You agree to notify us immediately of any unauthorized use of your password or Account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.
Binance.US provides an online digital asset trading platform (the "Platform") for products commonly known as cryptographic tokens, digital tokens, or cryptographic currency (collectively, "Digital Assets"). The Services include, but are not limited to:
We do not provide investment, tax, or legal advice. All trades are executed automatically, based on the parameters of your order instructions, and you are solely responsible for determining whether any investment, investment strategy, or related transaction is appropriate for you based on your personal investment objectives, financial circumstances, and risk tolerance.
When you place an order to trade Digital Assets, you authorize us to execute the transaction in accordance with your instructions. You acknowledge that once an order is executed, it is irreversible. You may only cancel an order before it has been matched with another user's order.
You agree to pay us the fees set forth in our Fee Schedule, which may be updated from time to time at our sole discretion. You authorize us to deduct any applicable fees directly from your Account balance at the time of the transaction. Fees may include trading fees, withdrawal fees, and deposit fees.
The values of Digital Assets may fluctuate significantly. You acknowledge that there are risks associated with trading Digital Assets, including the risk of significant loss. Market conditions may also affect liquidity, making it difficult or impossible to liquidate a position quickly or at a reasonable price. You agree that we are not liable for any losses incurred due to market volatility, technical failures, or lack of liquidity.

We reserve the right to investigate any violation of these Terms and to take appropriate action, including suspending or terminating your Account and reporting you to law enforcement authorities.
Trading Digital Assets involves a high degree of risk and is not suitable for everyone. Before trading, you should carefully consider your investment objectives, level of experience, and risk appetite. The possibility exists that you could sustain a loss of some or all of your initial investment and therefore you should not invest money that you cannot afford to lose.

Unless otherwise indicated, all materials contained on the Site, including but not limited to logos, text, graphics, pictures, information, data, software, sound files, and the arrangement thereof, are the proprietary property of Binance.US or our licensors and are protected by U.S. and international copyright and trademark laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the Site without our express written permission.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
IN NO EVENT SHALL BINANCE.US, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
You agree to indemnify, defend, and hold harmless Binance.US, its affiliates, and their respective officers, directors, agents, and employees from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
These Terms and your use of the Services will be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
You agree to waive your right to a trial by jury and to participate in a class action lawsuit or class-wide arbitration. The arbitration shall be conducted by a single neutral arbitrator in accordance with the rules of the American Arbitration Association.
We reserve the right to modify or update these Terms at any time at our sole discretion. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms, posting the amended Terms on the Site, or sending a notification to your registered email address. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to the amended Terms, you must stop using the Services and close your Account.
